The institutional data-room structure, explained

Give each kind of evidence a clear home. This guide walks through Blueprint’s structure and the questions the documents help answer.

A useful data room helps a reader find the evidence behind the investment case. Blueprint organizes that evidence into 16 folder identifiers, numbered 00–14, with folder 04 split into 04A for legal and fund documents and 04B for the partnership governance supplement. The structure is a preparation aid; follow the actual LP’s request and the fund’s applicable requirements.

The folder structure

00, fund overview and terms. The one-page summary, the key terms sheet, and the pitch deck.
01, firm, team, and partnership governance. Team bios, the organizational chart, the investment committee policy, and the succession plan.
02, strategy and edge. The investment strategy memo, the sourcing model, and the portfolio construction logic that ties fund size, check size, and stage focus together.
03, track record, attribution, and portfolio configuration. The deal-level performance ledger, the attribution policy, and the evidence for who gets credit for which call.
04A, legal and fund documents. The LPA, the offering memorandum, and the subscription documents, produced by fund counsel and never generated by Blueprint.
04B, partnership governance supplement. The internal governance layer between the founding partners: carry allocation, the IC charter, and the succession plan.
05, operations and infrastructure. Cybersecurity, business continuity and service-provider records, with the responsible people and current status identified.
06, financial statements, fees, and portfolio economics. Audited financials, the fee transparency schedule, and the fund's own financial model.
07, compliance and risk. The compliance manual, the AML and KYC policy, and the conflicts of interest policy.
08, ESG and responsible investment. The ESG policy, the climate risk approach, and the portfolio-level monitoring process behind it.
09, DEI and diversity metrics. The completed diversity metrics template and the team composition data behind it.
10, LP reporting and transparency. Sample quarterly reports, sample capital call notices, and the protocol for what gets communicated to LPs and when.
11, references and background. The professional and LP reference lists, pre-briefed and ready before a prospect asks for them.
12, the due diligence questionnaire. A maintained response, checked against current evidence and adapted to each LP’s questions and deadline.
13, fund model and economics. The deployment schedule, the waterfall, and the projections behind the fund's own return case.
14, emerging manager profile and institutional readiness. The self-assessment confirming the rest of the room is actually done.

Gaps worth checking early

Team and governance, folders 01 and 04B. No written investment committee policy, no succession plan, an informal partnership structure with nothing documented.
Track record and configuration, folder 03. Self-reported figures that do not reconcile against fund administrator records, no attribution policy stating who gets credit for which deal.
Operations, folder 05. Check the policies, responsible people and systems the fund needs; distinguish a draft policy from a working practice.
Emerging manager profile, folder 14. Show the current state of the materials and explain how the team and investment plan fit together.

The room should make it easy to find both the evidence and the open questions. Completeness is useful; a complete-looking folder with unsupported answers is not.

Building this once, keeping it current after

The room is not a one-time deliverable. Folder 03's performance ledger, folder 09's team composition data, and folder 12's completed questionnaire all need a standing update cadence, quarterly at minimum, so the room a prospective LP opens in month eight looks like the same disciplined operation as the room opened at first close.
