Terms of Service

By accessing or using Colibrí Blueprint at blueprint.colibristrategies.com, you agree to be bound by these Terms of Service. Colibrí Strategies operates Blueprint as a fund readiness platform for venture capital general partners preparing for institutional limited partner fundraising. If you do not agree to these terms, do not use the platform.

Permitted use

Blueprint is intended for use by venture capital fund managers and their authorized representatives. You may use the platform to build fund readiness materials, complete intake questionnaires, upload fund documents for analysis, and generate data room content for your own fund. You may not use the platform to build materials on behalf of third parties without their authorization, to access or attempt to access the accounts or data of other users, or for any purpose that violates applicable law.

Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Colibrí Strategies immediately at hola@colibristrategies.com if you become aware of any unauthorized access to your account.

Subscription and billing

Paid plans are billed monthly. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date. Colibrí Strategies does not offer refunds for partial billing periods. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until that date.

Termination

Colibrí Strategies may suspend or terminate your account for violations of these terms, for non-payment, or for conduct that poses a risk to other users or to the platform. You may terminate your account at any time by contacting hola@colibristrategies.com. Upon termination, your access to the platform ceases and your data is retained for 30 days before deletion, unless a longer retention period is required by law.

Modifications

Colibrí Strategies may update these terms from time to time. Material changes will be communicated by email to the address associated with your account at least 14 days before taking effect. Continued use of the platform after the effective date of a change constitutes acceptance of the revised terms.

Privacy Policy

Colibrí Strategies collects and processes personal information in connection with your use of Blueprint. This section describes what we collect, how we use it, and your rights with respect to it.

What we collect

We collect information you provide directly, including your name, email address, and fund details entered during the intake process. We collect the documents you upload to the platform for analysis. We collect usage data, including session logs and feature interactions, to improve the platform and to detect issues. We do not collect or store payment card numbers; payment processing is handled by Stripe.

How we use your information

Your fund data, uploaded documents, and generated materials are used to operate the platform and deliver the services you have subscribed to. Document content is processed by the Anthropic API to generate analysis, findings, and pre-filled materials. We do not use your fund data to train models, to share with other users, or to disclose to third parties except as described in this policy.

Third-party services

Blueprint uses Clerk for authentication, Supabase for database storage, Stripe for billing, and the Anthropic API for document analysis and content generation. Each of these providers operates under its own privacy policy and data processing agreements. Your data is transmitted to these providers only as necessary to operate the platform.

Data retention

We retain your account data for as long as your account is active. Upon account termination, your data is retained for 30 days and then deleted, unless a longer retention period is required by applicable law.

Your rights

You may request access to the personal data we hold about you, request correction of inaccurate data, or request deletion of your data by contacting hola@colibristrategies.com. We will respond to verified requests within 30 days.

Data and Confidentiality

Fund managers use Blueprint to work with sensitive materials, including draft LPAs, track records, and fund models. Colibrí Strategies treats all fund-specific data submitted to the platform as confidential.

Your fund data is isolated behind row-level security keyed to your account. No other user can see your materials, your data room content, or your LP pipeline. Blueprint does not aggregate or compare your fund data against other managers. Readiness is shown as a completeness measure within your own fund, never as a benchmark against other users of the platform.

Documents you upload for analysis are transmitted to the Anthropic API for processing. Anthropic's data handling practices are governed by Anthropic's own terms and privacy policy. Colibrí Strategies does not retain or log the content of documents beyond what is necessary to store them in your account and display the results of the analysis to you.

Colibrí Strategies employees do not access your fund documents or account data except in connection with technical support requests that you initiate, or as required by law. Founder review sessions, where Itzel and Mariela review your materials directly, are governed by a separate engagement agreement entered into at the time you request a review.

Methodology Disclosure

Blueprint's readiness framework, LP archetype intelligence, and evaluator lens are grounded in the Colibrí Institute's emerging venture capital manager research (Moncada and Salas, 2026), covering 2,471 U.S. venture funds from 2000 to 2024. The research is proprietary to Colibrí Strategies and to Colibrí Institute. Figures cited in the platform, including the 7.2 percentage point IRR advantage for emerging managers, are drawn from this dataset.

The ILPA DDQ 2.0 structure, the ILPA Reporting Template, the ILPA Performance Template, the Capital Call and Distribution Template, the Diversity Metrics Template, and the ILPA model legal documents referenced in Blueprint are published by the Institutional Limited Partners Association. Blueprint uses these structures as the organizational framework for the data room and the Master DDQ, with adaptations for emerging venture managers as noted within the platform. Blueprint is not affiliated with ILPA and does not represent that the output of the platform constitutes compliance with any ILPA standard.

The fuel gauge and readiness computation combine five inputs: ILPA component coverage (weighted 30%), data room folder completeness (25%), DDQ answered ratio (20%), open findings weighted by severity (15%), and operational due diligence items in place (10%). Components and questions marked not applicable are excluded from the denominator. These weights reflect Colibrí Strategies' judgment about the relative importance of each input and may be updated as the platform develops.

Blueprint does not produce a readiness score, an index, or a grade, and does not benchmark any user's fund against other users' funds. Readiness is a completeness measure within a single fund and should be understood as such.

Not legal or investment advice

Blueprint is a software platform, not a law firm or a registered investment adviser. Nothing in the platform or in any output it generates constitutes legal advice, investment advice, or a recommendation to raise a fund. The Evaluator Lens tells you what your target LP archetype looks for and where your materials have gaps. It does not tell you whether to raise a fund or whether you will succeed in doing so.

All legal questions, including questions about your LPA, your subscription agreement, your fund domicile, and jurisdiction, must be directed to qualified legal counsel. Blueprint routes these questions to counsel and does not auto-generate legal documents for any purpose.

No guarantees of LP outcomes

Completing the Blueprint process, assembling a data room, and resolving all open findings does not guarantee that you will successfully raise your fund or that any specific LP will commit to your fund. Blueprint prepares your materials to institutional standards. The LP relationship is still your work.

Accuracy of generated content

Blueprint uses the Anthropic API to generate analysis findings, pre-filled document content, and LP research briefs. This content is generated by an AI system and may contain errors. You are responsible for reviewing and verifying all generated content before sharing it with LPs, counsel, or any other party. Colibrí Strategies is not liable for errors in generated content that you rely on without review.

Limitation of liability

To the maximum extent permitted by applicable law, Colibrí Strategies' total liability to you for any claim arising out of or relating to your use of Blueprint is limited to the amount you have paid to Colibrí Strategies in the three months preceding the claim. Colibrí Strategies is not liable for any indirect, incidental, consequential, or punitive damages arising out of your use of the platform.
