Operational due diligence, what LPs actually check beyond the pitch
The pitch gets evaluated on the thesis. The rest of the fund gets evaluated on whether it can be trusted to run itself, and that review covers more ground than the handful of items most first-time managers already know to fix.
Operational due diligence tests a fund as a running business, separate from whether the investment thesis is any good. The four items that stop a review before it starts
A missing cybersecurity policy, no named compliance officer, no business continuity plan, and manual LP reporting with no system behind it are disqualifying on their own for many institutional LPs, evaluated before the investment question is asked at all. What gets checked once a fund clears that bar
A review that gets past the four disqualifiers above does not stop there. It moves through a wider set of items that test the same underlying question, whether the fund's operational infrastructure genuinely exists or is still aspirational.
- A service provider list naming the fund administrator, the auditor, custodian and prime broker where applicable, and legal counsel, current rather than a list of names the GP intends to engage.
- A data privacy policy covering GDPR and CCPA posture, current rather than aspirational.
- A technology and systems overview, the portfolio management platform, the cap table system, and the LP reporting portal actually in use.
- An insurance coverage summary naming the errors and omissions, cyber liability, and directors and officers coverage types and amounts in place.
Why operations gets tested first, not last
Most first-time managers assume the thesis conversation comes first and operations gets checked once the LP is already convinced. Institutional operational due diligence teams run in close to the opposite order. Operational items are binary, in place or not, which makes them cheap for a reviewer to check early and mechanically. Thesis quality is a judgment call that takes longer to form an opinion on. A fund that has not built the operational layer gets filtered out before the judgment call is ever reached, which is why this section is where first-time managers fail most often across the entire data room.
