Data Room and DDQ
This section of the DDQ asks an allocator's real question about the fund vehicle: exactly what it is, exactly how it is structured, and whether the answer matches every other document in the room.
This section describes the vehicle receiving an LP’s commitment: legal structure, any parallel or feeder vehicles, target size, hard cap and key economics. Work from the current documents and label proposals or pending decisions. The aim is a clear factual account of the fund as it stands.

A $40 million target and a $45 million hard cap can both be correct. Label them so the reader knows which is which. If two documents give different figures for the same measure and date, resolve the difference or explain the change. A maintained source for key terms helps keep the room aligned.
If counsel is still finalizing a feeder or parallel vehicle, say so. Describe the present structure and the proposal distinctly, then update the affected documents when the decision is settled. That gives the reader a reliable picture without presenting intentions as facts.
Use consistent definitions, dates and terms across documents. Where two figures answer different questions, explain the distinction instead of forcing them to match.
