The vocabulary shift that matters

“We have an ESG policy” tells a reader that a document exists. Explaining what the fund monitors, what changes it seeks and what it will do when evidence is weak tells the reader how the approach works. Choose measures that fit the strategy rather than adopting an outcome because it is easy to count.

What "theory of change" means in practice

A theory of change is a causal chain, not a mission statement. It states the problem, the investment mechanism, the first-order outcomes, the second-order outcomes, and the assumptions and risks at each link. A fund's theory of change is strong when that chain is explicit, partial when the mechanism is implied but not documented, and incomplete when intentions are stated without tracing a mechanism at all. Most funds start somewhere in the middle, and getting to explicit is the actual work.

The documentation this pathway builds

• A theory of change statement, structured as the causal chain described above.
• An investment and impact thesis memo explaining where the two aims reinforce each other, where they may conflict and how the team will handle those trade-offs.
• An additionality narrative for impact LPs: the mechanism by which the fund reaches founders, communities, or sectors that commercial capital systematically underserves.
• A PRI alignment assessment, mapping the fund's investment process to each of the six PRI Principles, with the PRI Progression Pathway, A, B, or C, that best describes the fund's responsible investment objective.
• An ESG integration policy with an operational process attached, distinguishing a policy that states intentions from a framework that describes what actually happens at each stage of the investment process.
• An impact measurement framework: the specific metrics collected, the methodology, the frequency, the LP reporting format, and how the fund handles portfolio companies that cannot provide data.
• A climate risk and opportunity framework aligned to TCFD.
• Diversity metrics disclosure and a DEI integration policy.
• An MRI program fit assessment, for funds targeting endowments with mission-related investment programs.
