Legal, what routes to counsel and what a GP can have ready
This section is not a legal-advice section, and this page is not one either. It names what an allocator's legal review actually asks for, and it is explicit about the line between what a GP assembles and what fund counsel drafts.
Blueprint does not draft legal documents, and this page does not attempt to either. The DDQ's legal section asks for a specific set of documents and disclosures, the LPA, the offering documents, the side letter framework, the firm's regulatory filings, and every one of them is fund counsel's work product, not a checklist item a GP can complete alone. What a GP can do is understand what gets asked for and make sure counsel has produced it before an allocator does.

What this section requests, and who produces it
- The Limited Partnership Agreement, in draft or final form, and the offering or private placement memorandum. Fund counsel's documents, never Blueprint-generated.
- Subscription documents and the investor questionnaire.
- A side letter framework and most-favored-nation policy, stating how side letter terms are tracked and how MFN rights are administered across the LP base.
- The management company's own entity structure and its LLC or operating agreement.
- Regulatory filings, specifically Form ADV Parts 1 and 2 where the firm is registered or filing as an exempt reporting adviser.
Why the side letter and MFN framework specifically gets asked about
A fund that grants meaningfully different terms to different LPs, without a stated MFN policy governing who can claim parity, creates a governance question independent of whether any individual side letter is reasonable on its own terms. This section wants the framework stated, not each individual side letter's contents, since the framework is what shows the fund is administering its terms consistently rather than negotiating each relationship in isolation.

What a GP can usefully do before engaging counsel on any of this is have the underlying facts organized, the current entity structure, the current registration status, and a list of any side letters already in place, so counsel is reviewing real information rather than starting from a blank page.
Every document this section requests comes from fund counsel. What a GP controls is whether counsel has already produced them by the time an allocator asks, not whether the GP can produce a substitute.
