Illinois INVENT, what SSBCI direct equity requires from a venture-backed company
Illinois INVENT invests directly into eligible companies, so the central question is company and round eligibility rather than fund-manager fit.
Illinois INVENT is a direct-equity program funded through SSBCI and administered by the Illinois Department of Commerce and Economic Opportunity. It invests in companies alongside private investors. It does not provide a grant, and it is not an LP commitment to a venture fund. The program supports underserved companies and businesses in priority sectors such as agriculture, energy, information technology, life sciences, manufacturing, quantum technology, and transportation.
The company must have a real Illinois connection
An eligible company generally must be a C corporation in good standing, have its headquarters or principal place of business in Illinois, and have at least 51% of its employees based in the state.
A company headquartered outside Illinois may qualify if it is willing to move its headquarters to Illinois within two years. The state reserves 10% of SSBCI funding for that relocation pathway.
The company must also have no more than 750 employees and demonstrate potential to increase jobs or capital investment in Illinois.
INVENT requires private capital, but it is not a formal matching program
DCEO says INVENT is not a matching program. The practical requirement is still important: a company must raise private capital independently in an amount at least equal to the approved INVENT investment before the state investment can be unlocked.
The program can invest from $10,000 to $6 million in financing rounds of up to $20 million. Investments may take the form of equity, convertible notes, or SAFEs.
What to prepare before the conversation
A company or GP preparing for INVENT should organize:
- Corporate structure and Illinois registration records.
- Headquarters and employee-location evidence.
- The financing round, private investors, and intended use of proceeds.
- The company's job-creation or capital-investment case.
- The sector-specific reason the company fits Illinois priorities.
- The Expression of Interest submission, which is the required starting point.
