New Jersey SSBCI venture capital, fund routes and the Angel Match note
New Jersey runs fund-level SSBCI routes through approved managers and a separate direct program that matches angel money with a convertible note.
New Jersey's SSBCI venture capital splits along the line the rest of this directory keeps returning to. Some of it reaches companies through venture fund managers the New Jersey Economic Development Authority has approved. One program, Angel Match, reaches a company directly, and it is explicitly funded by the federal State Small Business Credit Initiative. The two are different applications with different applicants, and Angel Match is by far the better documented of them.
Angel Match is a matched convertible note, not equity
Angel Match provides $100,000 to $1,000,000, matched one to one with outside investment. The instrument is a convertible promissory note with warrants equal to 50 percent of the note's principal, on a 10-year term at 3 percent interest, with no payment until year 8 and no prepayment penalty.
The match has to come from qualified outside investors, meaning venture capital funds, angel funds, family offices, or organized investment groups, with a minimum of $100,000. Money from employees and family does not count toward it.
The eligibility stack is specific and worth checking early
A company needs a minimum of $100,000 in trailing twelve-month revenues, at least 50 percent of its full-time employees based in New Jersey, no more than 100 total employees, and a minimum of two full-time founders or C-level executives working in New Jersey. It must be a C corporation or an LLC with physical office space in the state.
The program is aimed at early-stage, product-based technology companies across ten designated sectors, including advanced manufacturing, clean energy, and life sciences. Businesses deriving revenue from marijuana-related activities are ineligible, which the program attributes to SSBCI requirements rather than to its own preference.
The fund routes are real but thinly documented in public
NJEDA's venture funds page confirms that its venture fund activity is fund-level, meaning the authority invests in venture capital funds rather than directly in companies, and that it targets early-stage technology and life sciences companies with revenues generally less than $3 million.
For the SSBCI routes specifically, the page links two board memoranda rather than setting out terms: manager approvals for a life science and healthcare venture fund, and manager approvals for the New Jersey Opportunity Seed Fund, shown as the Black Latino Seed Fund. The memoranda are not published on the page itself, so the fund-level eligibility, commitment sizes, and match requirements are not stated here. A manager should ask NJEDA directly rather than assume the Angel Match terms carry across, because they describe a different program with a different recipient.
Sort the request before the conversation starts
- Whether the applicant is a company seeking Angel Match or a manager seeking a fund commitment.
- The outside investment being matched, and confirmation those investors qualify.
- New Jersey headcount, office space, and the two in-state founders or executives.
- Trailing twelve-month revenue against the $100,000 minimum.
- For a fund route, the current terms taken from NJEDA rather than from this page.
